Venture Capital Investment Funds (GSYF) in Turkey

A CMB-regulated, tax-efficient way to become a shareholder in growing companies. This guide explains how a Turkish GSYF works, who it suits and how it is set up.

Short answer: A venture capital investment fund (girişim sermayesi yatırım fonu, GSYF) is a fund registered with the Capital Markets Board of Türkiye that pools capital from qualified investors and invests it mainly as equity in growth companies. A licensed asset management company sets up and manages the fund; investors hold fund units. Fund income is exempt from corporate tax and gains on units held over two years carry 0% withholding tax.

How does a GSYF work?

  1. The fund is set up: the asset manager drafts the bylaws and issuance document and obtains CMB approval.
  2. Capital is raised: qualified investors buy units, paying in full or as commitments drawn down over time.
  3. Investments are made: the fund buys shares in, or injects capital into, portfolio companies and signs shareholder agreements.
  4. Value grows: as companies grow, unit value rises; values are tracked through independent valuation and audit.
  5. Exit: the fund sells through an IPO, trade sale or sale to partners; gains are distributed or units redeemed.

Frequently asked questions

What is the minimum investment in a GSYF?

The minimum is set in the fund's bylaws and issuance document. Units are sold only to qualified investors.

Can a GSYF invest in a single company?

Investment limits are set in the bylaws. Funds structured for a group or a specific project can concentrate on a small number of companies within the regulatory limits.

How do I exit a GSYF?

Units can be redeemed under the bylaws' conditions or transferred to other qualified investors. Because venture investments are long term, redemptions are usually tied to set periods.

How long does it take to set up a GSYF?

Drafting the documents, the CMB application and custody agreements usually take a few months.

Can foreigners invest in a GSYF?

Yes. Foreign individuals and companies can buy GSYF units, and a USD 500,000 investment held for three years qualifies for Turkish citizenship.
